Curtea Veche Publising acquired by Foreign Strategic Investor
Ferdinand Advises on the Acquisition of a Majority Stake in Curtea Veche Publishing
An international strategic investor, leading international book retailer, identified Curtea Veche Publishing as a platform for expansion into the Romanian market. The transaction involved the acquisition of a majority stake and the establishment of a joint venture structure with the founders, requiring coordinated advisory across financial, tax, and legal workstreams.
Ferdinand supported the transaction process, managing the full due diligence process across financial, tax, and legal workstreams, coordinating a selected network of auditors, tax experts, and law firms where the mandate required it. Ferdinand also provided SPA and SHA advisory support, covering the commercial terms of both the acquisition agreement and the joint venture structure established with the founding shareholders.
The transaction was successfully completed, marking the entry into the Romanian publishing market through a majority stake in one of the country's leading publishers.
